Terms and Conditions PLEASE READ VERY CAREFULLY THESE TERMS AND CONDITIONS AND THE FAQ BEFORE REGISTERING FOR UserGenerator SYSTEM. PARTICIPATION IN THE UserGenerator SYSTEM INDICATES THAT YOU ACCEPT THESE TERMS AND CONDITIONS. IF YOU DO NOT ACCEPT THESE TERMS AND CONDITIONS, PLEASE DO NOT REGISTER. Introduction. This agreement ("Agreement") between You and UserGenerator.com ("UserGenerator") consists of these UserGenerator System (the "System") Terms and Conditions ("Terms and Conditions"). "You" or "Publisher" means any entity identified in an enrollment form submitted by the same or affiliated persons, and/or any agency or network acting on its (or their) behalf, which shall also be bound by the terms of this Agreement. 1. System Participation. By enrolling in the System, You represent that You are at least 18 years of age. Multiple accounts held by the same individual or entity are subject to immediate termination. 2. Communications. You agree to direct to UserGenerator, and not to any publisher, any communication regarding any offers posted on UserGenerator.. 3. Termination; Cancellation. You may terminate your account at any time by contacting UserGenerator. If You are found to be violating these Terms and Conditions UserGenerator reserves the right to terminate your account without notice. 4. No Guarantee. UserGenerator makes no guarantee regarding the number of registrations an offer with receive under this Agreement. 5. User Websites. You agree and understand that UserGenerator, while it will try to moderate user websites, is not responsible for the content of any users website. 6. Payment. You shall receive a payment for signing up on the websites of other users upon reaching the minimum cash out balance. You agree to pay all applicable taxes or charges imposed by any government entity in connection with Your participation in the System. UserGenerator may change its pricing and/or payment structure at any time. 7. Fraud. If as a publisher or registering user You try to cheat another user, UserGenerator will not only rectify the situation, but also possibly terminate your account or remove some of your credits as a fee for doing a fraudulent act. 8. Representations and Warranties. You represent and warrant that all of the information provided by You to UserGenerator upon registration is correct and current. 9. Your Obligation to Indemnify. You agree to indemnify, defend and hold UserGenerator, its affiliates and employees, harmless from and against any and all third party claims, liability, loss, and expense (including damage awards, settlement amounts, and reasonable legal fees), brought against any Indemnified Person(s), arising out of, related to or which may arise from Your use of the System, the Site(s), and/or Your breach of any term of this Agreement. 10. Miscellaneous. This Agreement shall be governed by the laws of Illinois, except for its conflicts of laws principles. Any dispute or claim arising out of or in connection with this Agreement shall be adjudicated in Dupage County, Illinois. UserGenerator reserves the right to modify these Terms and Conditions at any time without notifying users. October 25, 2006.
